2. the service
blankcollar.ai is a shared memory layer that reads from your sources and makes them queryable from your ai tools. the service is offered in self-hosted, hosted, and on-premise configurations.
3. eligibility
the service is offered for business use by persons at least 18 years old authorized to bind their organization.
4. accounts
you are responsible for credentials, authorized users, and the activity of anyone using your tenant. notify us promptly of suspected unauthorized access.
5. acceptable use
you will not: (a) reverse engineer the service, (b) use it to build a competing product, (c) upload content you do not have the right to share, (d) use it to process content that violates applicable law, (e) attempt to disrupt the service or circumvent its security controls.
6. ownership
you retain all rights to your source material and the knowledge layer that emerges from it. we retain all rights to the service, the platform, the agent runtime, and any improvements we make. a license to use the product during the subscription is granted under the eula.
7. fees, invoicing and taxes
fees are agreed in an order form. invoices are payable within 30 days. taxes, duties and withholdings are on top of the stated fees where legally required.
8. term and termination
subscriptions renew for the agreed term unless either party gives notice 30 days before renewal. we may suspend the service for unpaid invoices or material breach after reasonable notice.
9. warranties
we warrant the service will perform materially in line with its documentation. outside that, the service is provided on an "as is" basis without further warranties.
10. liability
to the maximum extent permitted, neither party is liable for indirect, incidental, consequential or punitive damages, loss of profits, or loss of business opportunity. each party's aggregate liability is capped at the fees paid or payable in the 12 months preceding the event giving rise to the claim.
11. indemnity
each party will defend the other against third-party claims resulting from its own breach of these terms, to the extent permitted by law.
12. governing law and venue
these terms are governed by swiss law. exclusive jurisdiction: the ordinary courts competent at the registered office of the company (canton of aargau, switzerland).
